株式会社UPHASH（以下、「当社」といいます）は、法令および社会規範を遵守し、健全な事業運営を行うことを基本方針とします。以下に主要なコンプライアンス領域における当社の立場を示します。

UPHASH Inc. (hereinafter "the Company") is committed to compliance with laws and social norms, and to sound business operations. The following describes our position on key compliance areas.

反社会的勢力の排除Exclusion of Anti-Social Forces

当社は、暴力団その他の反社会的勢力との一切の関係を持たず、反社会的勢力による不当要求に対しては、組織全体で対応します。取引関係を含むあらゆる関係を遮断し、必要に応じて警察、弁護士等の外部専門機関と連携のうえ、民事および刑事の両面から法的対応を行います。

The Company maintains no relationships whatsoever with organized crime or other anti-social forces. We respond to improper demands as an entire organization, sever all relationships including business transactions, and coordinate with police, legal counsel, and other external specialist organizations as necessary, pursuing both civil and criminal legal responses.

当社は、反社会的勢力との裏取引および資金提供を、いかなる場合も行いません。

The Company does not, under any circumstances, engage in back-door transactions with, or provide funding to, anti-social forces.

贈収賄の禁止Anti-Bribery

当社は、国内外の贈収賄防止法令（不正競争防止法、米国FCPA、英国Bribery Act等）を遵守し、公務員および民間企業の関係者に対する贈賄行為を一切行いません。また、過度な接待・贈答等、贈賄とみなされ得る行為も行いません。

The Company complies with anti-bribery laws both domestic and international (Japanese Unfair Competition Prevention Act, US FCPA, UK Bribery Act, etc.). We do not engage in bribery of public officials or private sector parties, nor do we engage in excessive entertainment or gifts that could be construed as such.

独占禁止法・競争法の遵守Antitrust & Competition Law Compliance

当社は、独占禁止法をはじめとする国内外の競争法を遵守します。競合他社とのカルテル、入札談合、不公正な取引方法、優越的地位の濫用等、競争法に違反する行為を行いません。

The Company complies with antitrust and competition laws both domestic and international. We do not engage in cartels, bid-rigging, unfair trade practices, abuse of dominant position, or other activities that violate competition law.

下請法の遵守Subcontract Law Compliance

当社は、下請代金支払遅延等防止法（下請法）を遵守し、業務委託先・パートナーに対して、公正な契約、適正な代金、支払期日の厳守を徹底します。委託先の優越的地位の濫用、買いたたき、代金の減額、受領拒否等、下請法に違反する行為を行いません。

The Company complies with the Subcontract Act, ensuring fair contracts, appropriate pricing, and strict adherence to payment deadlines with all partners and contractors. We do not engage in practices that violate the Subcontract Act.

輸出管理Export Control

当社は、外国為替及び外国貿易法（外為法）その他の輸出管理関連法令を遵守し、安全保障上の懸念がある技術・製品の不適切な輸出または技術移転を行いません。該当性のある取引については、事前に審査を行います。

The Company complies with the Foreign Exchange and Foreign Trade Act and related export control regulations, and does not engage in inappropriate export or technology transfer of goods or technologies with security concerns. Applicable transactions are subject to prior review.

ハラスメント防止Anti-Harassment

当社は、性別、年齢、国籍、学歴、地域等に基づく差別、およびあらゆる形態のハラスメント（パワーハラスメント、セクシュアルハラスメント、その他）を禁止します。リモートワーク環境下においても、同様の基準を適用します。

The Company prohibits discrimination on the basis of gender, age, nationality, educational background, regional origin, or other attributes, and all forms of harassment. The same standards apply in remote work environments.

内部通報Whistleblower Protection

当社は、法令違反または倫理違反の疑いがある事象について、役員、従業員、業務委託先その他関係者からの通報を受け付ける体制を整備します。通報者に対する不利益な取扱いは一切行いません。

The Company maintains channels to receive reports of suspected legal or ethical violations from directors, employees, contractors, and other related parties. No adverse treatment will be imposed on whistleblowers.
